Prompt Engineering Contest Official Rules
NO PURCHASE NECESSARY TO ENTER. VOID WHERE PROHIBITED.

Sponsor: The Sponsor of this Contest is Pickaxe, Inc. (“Pickaxe”)

Eligibility: Open to persons who legally reside in the United States and who are at least 18 years of age at the time of entry. Employees of Pickaxe may not enter the Prompt Engineering Contest (the “Contest”) . 

How to Enter:

• Submissions for the Contest will open on May 29th, 2023 and be accepted through June 20th, 2023  at 6:30PM PT. Submissions may be made viawww.pickaxeproject.com/contest. Entrants must provide their email address and link to their submission, and can optionally provide their Twitter handle. Upon successful entry, entrants may receive promotional emails and can opt out of such emails by clicking “unsubscribe”. After submitting details, Pickaxe will send email communications to entrants with instructions to enter the Contest.
• No more than one entry per individual is permitted. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. 

Judging Criteria & Winner Selection: Entrants will compete in the Contest between May 29th, 2023 and June 20th, 2023. The winner will be selected by 11:59PM PT on June 30, 2023 by Pickaxe’s designee(s), who shall be the judge(s) of the contest based on the judges’ ranking of the submissions in the following categories:

• Creativity: 40% - Is the Pickaxe unique? Is it clever? Is it entertaining?
• Effectiveness: 40% - Does the Pickaxe give consistently quality results? Does the Pickaxe deliver what it promised?
• Fan Favorite: 20% - What does the audience think? How much was it used?

Up to 15 entrants will be selected as finalists, and 1 finalist will be selected as the winner. The decisions of the judges are final and binding on all matters relating to the contest. The judges: Souki Mehdaoui, Riley Brown, Dreaming Tulpa, Pete Huang, and Matt Wolfe. They were chosen on the basis of their expertise around generative AI.

The winner will be notified by email within 30 days of winner selection. Potential winners may be required to sign and return an Affidavit of Eligibility/Release of Liability in connection with the performance within 48 hours of notification or prize will be forfeited and an alternate winner selected. By entering this Contest, entrant accept and agree to these official rules, our Terms of Service and Privacy Policy, and the decisions of Pickaxe, which shall be final in all matters. Acceptance of a prize also constitutes permission to Pickaxe to use entrants’, finalists’, and winners’ name, likeness, photos, and biographical information for commercial, advertising, promotional and other purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply. 

For each entrant that is NOT selected as a winner, such entrant may request in writing to info@pickaxeproject.com that Pickaxe destroy entrant’s submission files. After receiving entrant’s request, Pickaxe will have five (5) business days to destroy such files from Pickaxe’s servers.

Rules & Restrictions:

• Individuals may submit as many Pickaxes as they want.
• Submissions must be made via Pickaxe’s prompt-building platform. 
• Only submissions created after May 29, 2023 are eligible.
• By competing in the Contest, entrants hereby warrant and represent that the entire meets the following requirements: 
• a. Submission does not contain copyrighted materials owned by others;
• b. Submission cannot be in violation of any law.
• Entrants agree that by competing in the Contest, entrant gives Pickaxe permission to use entrant’s submission, name, likeness, photos, and biographical information (“Likeness”), if/as such Likeness appears during the Contest and in the submission materials, and in connection with advertising, promoting, publicizing, streaming, exhibiting and exploiting same, in whole or in part, by any and all means, media, devices, processes and technology now or hereafter known or devised in perpetuity throughout the universe,  without further compensation or right of approval, unless prohibited by law. All federal and state laws apply. Entrants agree that Pickaxe Parties shall have no obligation (express or implied) to use submission or Likeness in any manner and entrants shall not be entitled to any damages or other relief by reason of Pickaxe Parties use or non-use of entrants' submission.
• Entrant acknowledges that all of the results and proceeds of entrant’s Contest submission are work-made-for-hire for Pickaxe, and if not, entrant hereby irrevocably grants and assigns, to be owned by Pickaxe, all rights, title and interest in entrant’s Likeness in the Contest submission.

• Entrants also grant to Pickaxe and/or its officers, directors, affiliates, and subsidiaries (collectively "Pickaxe Parties") a gratis, worldwide, perpetual, irrevocable, right and royalty-free license to use their competition submissions for purposes of determining whether they will be selected as a winner. Such right includes, without limitation, the right to reproduce store on Pickaxe Parties servers, download, display, perform, and distribute in any and all media the submission for purposes of determining the winner.
• Each entrant warrants and represents the following with respect to their submission: 
• a. Entrant is the sole and exclusive owner of the submission; (b) the submission submitted by entrant will be original to entrant; (c) no third party consents, permissions, or authorizations are necessary for entrant to submit the submission to Pickaxe; and
• b. The submission will not infringe on any rights of any third parties.
• Entrants agree to sign and deliver to Pickaxe Parties such documents as Pickaxe Parties may reasonably require to effectuate the rights granted herein.                                          

Prize: The winners will be awarded the following: 

• Grand Prize: $500 and one year of Pickaxe Gold
• Best interactive chatbot: $250 and one year of Pickaxe Gold
• People’s Choice: $250 and one year of Pickaxe Gold

Limit one prize per winner. No substitutions, cash redemptions, assignments or transfers of the prize (in whole or in part) are permitted by winners. Pickaxe reserves the right to substitute any prize or components thereof with another prize of approximate value. 

Limitation of Liability: By entering this Contest, entrants waive all right to, and hold the Pickaxe Parties harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this contest or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Check your local laws for any restrictions or limitations regarding these limitations or exclusions. The Contest and the prize(s) are provided "as is" without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. 

Cheating: Entrants agree not to knowingly damage or cause interruption of Contest-winner selection and/or prevent others from utilizing the links to the Contest. CAUTION: ANY ATTEMPT TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS DRAWING VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, PICKAXE PARTIES MAY DISQUALIFY ANY ENTRANTS MAKING SUCH ATTEMPT AND PICKAXE PARTIES MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

General Terms & Conditions: By participating, entrants agree Pickaxe Parties are not responsible or liable for, and shall be released and held harmless from: (i) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind; (ii) any condition caused by events beyond the control of Pickaxe Parties that may cause the Contest to be disrupted or corrupted; (iii) any printing or typographical errors in any materials associated with the Contest; (iv) any and all losses, damages, rights, claims and actions of any kind in connection with or resulting from participation in the Contest, acceptance, possession, or misuse of any prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.  Pickaxe Parties will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Contest; by any human error which may occur in the processing of the entries in this Contest; or any typographical, technological, or other error in the publishing of the offer, administration of the Contest, or announcement of the prize. If for any reason the Contest is not capable of being conducted as described in these official rules, Pickaxe shall have the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest. Entrant agrees that all matters arising out of or relating to this Contest and these official rules are governed by, and construed in accordance with, the laws of Delaware, without giving effect to any of its conflict of laws provisions thereof. In the event a dispute arises cannot be resolved, such dispute shall be submitted to arbitration and resolved by a single qualified arbitrator in accordance with the rules of the American Arbitration Association (AAA). All such arbitration shall take place at the office of the AAA in Los Angeles, California. The award or decision rendered by the arbitrator shall be final binding and conclusive and judgment may be entered upon such award by any court. Winners are solely responsible for any taxes on their respective prizes.  By participating, entrants agree to be bound by these official rules and the decisions of Pickaxe and judges and waive any right to claim ambiguity in the Contest or these official rules.

WHEN ENTRANTS COMPETE IN THE CONTEST, THEY ARE UTILIZING SKILL, SUCH AS CREATIVITY, ORIGINALITY, AND SKILL IN CODING TO CREATE AI PROMPTS. IN OTHER WORDS, ENTRANTS’ ABILITIES DETERMINE THE OUTCOME OF THE SKILLS-BASED COMPETITION. GAMES OF SKILL ARE PERMITTED IN MOST JURISDICTIONS AND DO NOT CONSTITUTE GAMBLING (WHICH GENERALLY REQUIRES A GAME OF CHANCE, PRIZE, AND CONSIDERATION TO PLAY). SOME JURISDICTIONS LIMIT GAMES OF SKILL WHERE PAYMENTS ARE INVOLVED. IT IS YOUR RESPONSIBILITY TO DETERMINE WHETHER THE JURISDICTION IN WHICH YOU ARE LOCATED PERMITS SKILL-BASED COMPETITIONS. WHEN YOU PARTICIPATE IN COMPETITIONS, THESE TERMS OF SERVICE SHALL APPLY.
